1. Acceptance of Terms

By accessing rtbglobalsupply.com or engaging RTB Global Supply for sourcing, quality, logistics, or related services, you agree to be bound by these Terms of Service. If you do not agree, please do not use the website or services. These terms apply to all visitors, registered users, and clients.

2. Service Description

RTB Global Supply is a China sourcing agent providing: product sourcing and supplier matching, factory audit and quality inspection, sample coordination, OEM/ODM and value-added customization, warehousing and consolidation, international freight forwarding, and express shipping. Specific deliverables, timelines, and fees are confirmed in a written quotation or service agreement for each project.

3. Client Obligations

As a client, you agree to provide accurate and complete specifications, target quantities, regulatory requirements, and any other information necessary for us to deliver services. You are responsible for ensuring that the products you source comply with the laws of the destination country. You agree to pay service fees and supplier costs on time as agreed, and to respond promptly to information requests that may delay production or shipping.

4. Quotations and Orders

All quotations are valid for 14 days unless otherwise stated. Order acceptance is confirmed by written PO or signed service agreement. We reserve the right to revise pricing due to raw material fluctuations, currency changes, or specification changes after the quotation date. Any change in scope, quantity, or specification may trigger a price and lead-time revision.

5. Payment Terms

Standard payment terms: 30% T/T deposit to lock the order, 70% T/T balance against B/L copy. Other methods (L/C at sight, OA, escrow) are available for established partners. Service fees are invoiced separately and are due within 7 days of invoice date. Late payments accrue interest at 1% per month or the maximum allowed by law. All bank charges outside China are borne by the client.

6. Quality and Inspection

We follow the inspection scope defined in the service agreement. Inspection reports are advisory; the final acceptance decision rests with the client. Unless otherwise agreed, the supplier bears primary responsibility for product quality. RTB Global Supply will assist in dispute resolution, replacement, or refund negotiation in case of confirmed quality defects, but our liability is limited to the service fee paid for the affected order.

7. Intellectual Property

You retain all intellectual property rights in designs, drawings, brand names, and specifications you provide. By sharing such materials, you grant us a limited, non-exclusive license to use them solely for the purpose of delivering services to you. We will not use, disclose, or commercialize your IP for any other purpose. For OEM/ODM projects, a separate IP and confidentiality agreement is signed with the manufacturing factory.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or related to our services is limited to the service fees actually paid to us for the specific order giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or loss of business opportunity, even if advised of the possibility of such damages.

9. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, epidemics, government actions, port congestion, carrier strikes, war, or significant changes in trade policy. The affected party will notify the other in writing and take reasonable steps to mitigate the impact.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict of laws principles. The parties shall first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Qingdao in English. The arbitral award is final and binding on both parties.
